Buy An Existing Business or Start From Scratch? Which To Choose?

Image
Buy An Existing Business or Start from Scratch? December 21, 2018  by  Michael Shea PA So you want to own a business. The freedom, autonomy, and rewards are attractive. So where do you start? You can start a  side hustle , buy a  franchise , or buy an  existing business.  With so many options available to you how do you know which to choose and what are the pros and cons? As a broker, I have seen each of these options play out both positively and negatively.  The side hustle allows you to hedge risk and make some money “on the side” but the time it takes to scale to actual “business” status is long.  Franchises bring proven processes, resources, and often brand power.  It requires more capital and you need to be comfortable with the restrictions and ongoing costs associated with being in “partnership” with a master franchisor. Finally, the one I think represents the best opportunity on many levels is the purchase of an existing business...

When and How Do You Communicate a Business Sale?

Image
Confidentiality and Your Business Sale? March 15, 2018  by  Michael Shea PA   (Edit) When to Communicate the Sale of Your Business The decision to sell your business is a big one; it is an important decision likely to affect the lives of many. As a result, it is crucial to keep the sale and all negotiations for the sale of your company as confidential as possible. Likely to affect your clients, employees, vendors, and competitors, it is best to ensure any positive, or potentially negative, reactions do not affect the final sale of your hard work. It is best to wait until the end of the negotiation process to tell all interested parties. Although communication is a critical element of operating a successful business, there will be times when you can’t share everything with your employees and clients. Once you have decided to sell your business, you need to be careful not to say too much. Be selective and strategic about who you share information with during the s...

Buying A Business and Getting Past the Gate Keeper

Image
Buying A Business and Getting Past the Gate Keeper / Business Broker February 16, 2018  by  Michael Shea PA   (Edit) Would you believe that less than 10% of all buyers who inquire on a business sale or into the process of buying a business ever get to the closing table. Well, it is true…sadly. The reasons for such a miserable number are many: lack of knowledge, lack of funds, financing and capital issues, frustrations, and sometimes road blocks from “advisors” of both buyers and sellers. Many times I have been asked what is the most important element to successfully buying or selling a business and it all comes down to one thing “Education”. That includes education on finance, accounting, business management, roles of the parties to the transaction, and of course the process. Buyers have to keep in mind that regardless of market conditions, unlike real estate where the market switches between a “buyer’s” or “seller’s” market, in the business sale sector, ...

What is my business worth? Don't be the Fisherman

What is my business worth in Florida? Get Real and Don’t be the Fisherman February 12, 2018  by  Michael Shea PA   (Edit) Just the other day I was in my CPA’s office and one of the partners saw me and took me to the break room. Seems one of his clients was paying a outside firm a fee to tell him what his business was worth. I’m sure if you are a business owner of any duration of time that you have gotten: direct mail, faxes (yes there are still faxes), email, and cold calls all soliciting you for the opportunity to tell you what your business was worth and to “oh by the way” receive a handsome fee. In this particular case the CPA was asking me if I ever saw a 5 multiple…..in honesty I had to tell him no. Further qualifying it I said….”5 multiples are for businesses getting netting well over 1 million dollars in ebitda and even then that is rare indeed”. What was so funny about the conversation was that by this time 3 other CPA’s had joined in and we actually w...

The Frustrations of Buying a Business in Orlando

Image
The Frustrations of Buying A Business January 23, 2018  by  Michael Shea PA Time and Time again I have met buyers who are encountering  frustrations  in the buying of a business. The reasons vary from buyer to buyer but if I may let me offer some specifics to the buying process as it relates to the Orlando Florida and Kissimmee Markets. 1. First thing, recognize t that there is a market and there is competition. Orlando is one of the few places where there are outside factors like immigration buyers that impact the purchase process. Buyers of businesses looking for visas have additional concerns like steady cash flow, simplicity, need for home-based businesses, and the ever-present concern of the target meeting the needs of the USCIS for E2 investor Visa’s 2. How you did things in your country or state or in your past professional life will not dictate the process here on the ground. There are outlined and defined processes here. Choosing to accept them a...

Goodwill When Buying or Selling A Business

Image
Goodwill When Buying or Selling A Business October 31, 2017  by  Michael Shea PA   (Edit) man and woman shaking hands in front of laptop A business’s true worth is often far more than the value of its individual parts. When buying or selling a business, goodwill represents the value of the business that is above and beyond the worth of separately identifiable tangible business assets. Unlike physical assets, like buildings or equipment, goodwill is an intangible asset. What Are the Factors that Contribute to the Creation of Business’s Goodwill? Business goodwill reflects the synergy among the various assets in a well-run business that are used to generate revenue. Although it can be difficult to price, determining the value of goodwill can make a company more valuable. However, since the components that make up goodwill have subjective values, there is also a risk that a business could over or undervalue goodwill during a business valuation. Business owners may be...

Millenials are the next wave of Entreprenuers

Millenials and College Students….the Next Entreprenuers October 30, 2017  by  Michael Shea PA   (Edit) Millenials and College students face a new age.  Of late in the news we repeatedly are told of how college graduates are underemployed or can’t find jobs. As a parent of teens looking to enter that eventual pool, I say “Great”. The working world is not what I entered into in the early 1990’s. Manufacturing Jobs have either gone overseas or been automated with the advance of technology leaving the younger generation in a state of turmoil and flux. Why do I say “Great,” you ask….well the simple fact is that poverty and being uncomfortable will be the stimulus that pushes this highly educated group to create the new economy. The wave of entrepreneurial creation that will be born in the next 20 years will be unlike anything us Gray Hairs have seen before. As a business broker, I look forward with optimism to the next several decades as these budding entrepre...
